Section 8 company.

Review charitable objects, formation documents and the company licensing route for a nonprofit purpose.

Scope before commitment Requirements explained
01 / THE BIG PICTURE

The right support.
With the details in view.

Create a company dedicated to eligible nonprofit objects with restrictions on distribution of its income. We help articulate the proposed charitable purpose, organise incorporation and licensing documents, and distinguish the entity’s formation from separate income-tax exemptions, donor approvals and foreign-contribution permissions.

First, establish what applies

Entity formation, tax registrations and optional recognition schemes are different steps. Udyam and Startup India recognition do not replace incorporation or operating licences.

What the scoped work can cover

  • Nonprofit objects and constitutional document set
  • Incorporation and licensing submission records
  • Approval outcome and nonprofit compliance map
02 / GET READY

The documents.
A clearer starting point.

Use this as a preparation list for the initial review. The final checklist is confirmed against the applicant, service route, location and current authority requirements.

  1. 01

PAN and identity proof of proposed Indian subscribers or partners

  2. 02

Current residential address proof and contact details of proposed signatories

  3. 03

Registered office ownership document or rent agreement

  4. 04

Owner’s consent and recent utility evidence for the proposed office

  5. 05

Proposed charitable objects and activity plan

  6. 06

Projected income and expenditure with proposed memorandum, articles and declarations

Share sensitive records only through an agreed secure channel after the engagement is confirmed. Do not send passwords, OTPs or signing keys.

03 / HOW IT MOVES FORWARD

One step.
Then the next.

A clear sequence, with room to resolve the details that are specific to your business.

  1. 01

    Clarify nonprofit purpose

Review the objects, intended beneficiaries and planned income sources.

  2. 02

    Prepare the constitutional brief

Draft the restrictions and governance terms appropriate to Section 8.

  3. 03

    Organise the application

Review projections, declarations and incorporation/licensing submissions.

  4. 04

    Plan operational permissions

Separate company approval from tax, donation and activity-specific registrations.

Scope, fees and timing are agreed after review. Document readiness, professional review and any authority queries affect the schedule. Statutory charges, testing, execution and other third-party costs are identified where relevant.

04 / BEYOND THIS STEP

Keep the next
responsibility in view.

Maintain evidence of charitable expenditure, restricted receipts and governance decisions. Review donor-facing claims, tax approvals and foreign receipts before funds are accepted.

05 / A LITTLE MORE CLARITY

Good questions.
Useful answers.

01Does Section 8 status automatically provide tax exemption?+

No. Income-tax registrations or approvals must be assessed and obtained separately where applicable.

02Can profits be distributed to members?+

The structure is intended for its approved nonprofit objects, with restrictions on distributing income to members.

03Can foreign donations be accepted immediately?+

Foreign contribution requires a separate FCRA eligibility and permission review; company incorporation alone is insufficient.
