One Person Company.

Company formation support for a solo founder choosing an OPC.

Scope before commitment Requirements explained
01 / THE BIG PICTURE

The right support.
With the details in view.

Build a company around a single eligible member while planning for the nominee arrangement and ongoing company obligations. We review the founder’s eligibility, nominee consent, objects and registered office, then help organise the OPC incorporation documents and the records needed after approval.

First, establish what applies

Entity formation, tax registrations and optional recognition schemes are different steps. Udyam and Startup India recognition do not replace incorporation or operating licences.

What the scoped work can cover

  • OPC incorporation document set
  • Nominee consent and application records
  • Certificate and first compliance checklist, if incorporated
02 / GET READY

The documents.
A clearer starting point.

Use this as a preparation list for the initial review. The final checklist is confirmed against the applicant, service route, location and current authority requirements.

  1. 01

PAN and identity proof of proposed Indian subscribers or partners

  2. 02

Current residential address proof and contact details of proposed signatories

  3. 03

Registered office ownership document or rent agreement

  4. 04

Owner’s consent and recent utility evidence for the proposed office

  5. 05

Nominee identity details, eligibility information and written consent

  6. 06

Proposed name, objects and subscriber’s capital commitment

Share sensitive records only through an agreed secure channel after the engagement is confirmed. Do not send passwords, OTPs or signing keys.

03 / HOW IT MOVES FORWARD

One step.
Then the next.

A clear sequence, with room to resolve the details that are specific to your business.

  1. 01

    Check the OPC route

Review member eligibility, nominee eligibility and whether OPC suits the business plan.

  2. 02

    Confirm the nominee

Collect the nominee’s consent and check identity consistency.

  3. 03

    Prepare incorporation

Organise the constitutional documents and applicable linked MCA forms.

  4. 04

    Handover company essentials

Review the certificate and note banking, commencement and record-keeping actions.

Scope, fees and timing are agreed after review. Document readiness, professional review and any authority queries affect the schedule. Statutory charges, testing, execution and other third-party costs are identified where relevant.

04 / BEYOND THIS STEP

Keep the next
responsibility in view.

Maintain nominee details, financial records and statutory filings; review the structure before introducing investors or changing the ownership arrangement.

Explore obligations beyond your core business
05 / A LITTLE MORE CLARITY

Good questions.
Useful answers.

01Does the nominee become a co-owner immediately?+

The nominee arrangement addresses succession in the circumstances prescribed by law; it does not create an ordinary second shareholder at incorporation.

02Does an OPC avoid annual compliance?+

No. OPCs have company reporting duties, even where particular meeting or return rules differ.

03Can the structure change later?+

A later conversion can be assessed against the then-applicable rules, ownership plan and required approvals.
