Change, convert & close

Change business activity.

Review objects or agreement amendments and the registrations affected by a new line of business.

Scope before commitment Requirements explained
01 / THE BIG PICTURE

The right support.
With the details in view.

Add or change a business line with an organised review of constitutional authority and operating permissions. We compare the proposed activity with the company’s objects or the firm’s agreement, organise any required amendments and identify tax, local and sector registrations affected by the new activity.

First, establish what applies

A structure transition may require a new entity and business transfer rather than a direct statutory conversion. Eligibility, consents, liabilities, taxes, contracts and licences need review. Closing an entity does not automatically cancel its tax or operating registrations.

What the scoped work can cover

  • Activity and constitutional gap review
  • Prepared amendment, approvals and applicable filing records
  • Affected registrations and operating-permission checklist
02 / GET READY

Use this as a preparation list for the initial review. The final checklist is confirmed against the applicant, service route, location and current authority requirements.

03 / HOW IT MOVES FORWARD

One step.
Then the next.

A clear sequence, with room to resolve the details that are specific to your business.

  1. 01

    Review the proposed activity

Identify whether it is already authorised and whether the new activity is regulated.

  2. 02

    Prepare amendments

Draft the appropriate objects or agreement changes and approval records.

  3. 03

    Coordinate entity filings

Prepare the relevant resolution or agreement filings where applicable to the entity.

  4. 04

    Map operating permissions

Review GST particulars, local registrations and sector approvals before the changed activity begins.

Scope, fees and timing are agreed after review. Document readiness, professional review and any authority queries affect the schedule. Statutory charges, testing, execution and other third-party costs are identified where relevant.

04 / BEYOND THIS STEP

Keep the next
responsibility in view.

Update business descriptions consistently and maintain the approvals and recurring compliance associated with the new activity.

05 / A LITTLE MORE CLARITY

Good questions.
Useful answers.

01Do I always need to amend the objects?+

No. The existing wording may already authorise the proposed activity. That assessment should be made before preparing an amendment.

02Does an objects change grant a sector licence?+

No. Food, financial, healthcare, manufacturing and other regulated activities can require separate permissions.

03Must the company name change too?+

Not automatically. Name suitability and any regulatory restrictions should be reviewed in the context of the proposed activity.
