Change, convert & close

Add or remove a partner.

Review admission, retirement, profit sharing and the agreement and registry updates for a firm or LLP.

Scope before commitment Requirements explained
01 / THE BIG PICTURE

The right support.
With the details in view.

Document a partner’s admission, retirement or other cessation with clear financial and management terms. We first distinguish a conventional firm from an LLP, then review consent, the governing agreement and registry updates. An exit also needs a separate review of creditor exposure, settlement and continuing obligations.

First, establish what applies

A structure transition may require a new entity and business transfer rather than a direct statutory conversion. Eligibility, consents, liabilities, taxes, contracts and licences need review. Closing an entity does not automatically cancel its tax or operating registrations.

What the scoped work can cover

  • Partner admission or exit documentation
  • Agreement amendment and applicable filing records
  • Settlement and post-change notification checklist
02 / GET READY

The documents.
A clearer starting point.

Use this as a preparation list for the initial review. The final checklist is confirmed against the applicant, service route, location and current authority requirements.

  1. 01

Current partnership deed or LLP agreement and amendments

  2. 02

Partner list, contribution and profit-sharing records

  3. 03

Incoming partner identity, PAN, address and consent records

  4. 04

Retirement notice, settlement proposal or other cessation evidence

  5. 05

Accounts and capital balances relevant to settlement

  6. 06

Partner approvals and lender or contract consent requirements

Share sensitive records only through an agreed secure channel after the engagement is confirmed. Do not send passwords, OTPs or signing keys.

03 / HOW IT MOVES FORWARD

One step.
Then the next.

A clear sequence, with room to resolve the details that are specific to your business.

  1. 01

    Review the entity and agreement

Check admission or exit powers, required consents and the resulting partner composition.

  2. 02

    Agree commercial terms

Settle contributions, profit sharing, management, outstanding balances and the effective date.

  3. 03

    Execute and notify

Coordinate the amended deed or LLP agreement and the applicable Registrar of Firms or LLP partner and agreement filings.

  4. 04

    Complete the handover

Review public notice where relevant, bank mandates, tax particulars and continuing liabilities.

Scope, fees and timing are agreed after review. Document readiness, professional review and any authority queries affect the schedule. Statutory charges, testing, execution and other third-party costs are identified where relevant.

04 / BEYOND THIS STEP

Keep the next
responsibility in view.

Update signing mandates and financial records, retain settlement evidence and review guarantees that require an express creditor release.

05 / A LITTLE MORE CLARITY

Good questions.
Useful answers.

01Are the filings the same for a firm and an LLP?+

No. An LLP uses MCA partner and agreement processes. A conventional firm follows its deed and the applicable state firm-registration procedures.

02Does a retirement deed release a partner from every debt?+

No. Agreements between partners do not automatically bind creditors. Existing liabilities, guarantees, consent and public-notice requirements need separate review.

03Can an LLP continue with only one partner?+

An LLP must meet the statutory minimum-partner and designated-partner requirements. A proposed exit should be sequenced to address those requirements.
