Scope before commitment Requirements explained
01 / THE BIG PICTURE

The right support.
With the details in view.

Keep company records aligned with a director’s appointment, resignation or lawful removal. We review the reason for the change, authority and eligibility, prepare the appropriate approvals and coordinate applicable filings. A contested removal requires its own legal process; a routine resignation template cannot replace it.

First, establish what applies

A structure transition may require a new entity and business transfer rather than a direct statutory conversion. Eligibility, consents, liabilities, taxes, contracts and licences need review. Closing an entity does not automatically cancel its tax or operating registrations.

What the scoped work can cover

  • Event-specific director change checklist
  • Prepared approval and applicable filing package
  • Submission record and statutory-register update note
02 / GET READY

The documents.
A clearer starting point.

Use this as a preparation list for the initial review. The final checklist is confirmed against the applicant, service route, location and current authority requirements.

  1. 01

Company constitution and current director register

  2. 02

Incoming director identity, address, DIN and eligibility declarations

  3. 03

Consent to act and interest disclosures where required

  4. 04

Resignation notice and receipt details, or removal proposal and correspondence

  5. 05

Board and member notices, resolutions and meeting records

  6. 06

    Authorised signatory and digital-signing information

Share sensitive records only through an agreed secure channel after the engagement is confirmed. Do not send passwords, OTPs or signing keys.

03 / HOW IT MOVES FORWARD

One step.
Then the next.

A clear sequence, with room to resolve the details that are specific to your business.

  1. 01

    Identify the legal event

Distinguish appointment, resignation and removal, including the effective date and the company’s minimum board requirements.

  2. 02

    Prepare consent and approvals

Organise the appropriate director declarations, notices and board or member decisions.

  3. 03

    Coordinate the filing

Prepare the applicable director-change filing and attachments, with professional certification where required.

  4. 04

    Update company records

Align the statutory register, bank authorities, signing mandates and relevant stakeholder records.

Scope, fees and timing are agreed after review. Document readiness, professional review and any authority queries affect the schedule. Statutory charges, testing, execution and other third-party costs are identified where relevant.

04 / BEYOND THIS STEP

Keep the next
responsibility in view.

Review signing powers, access rights and disclosures, and update company registers without confusing a board exit with a shareholder exit.

05 / A LITTLE MORE CLARITY

Good questions.
Useful answers.

01Does removing a director also remove their shares?+

No. Directorship and share ownership are separate. Any share transfer or exit arrangement needs its own documentation and legal review.

02Can a company file a removal as a resignation?+

No. The actual event and lawful process must be recorded accurately. A contested removal needs specific advice on notice, representation and member approvals.

03Does resignation release past liability?+

Not automatically. Responsibility for conduct during the director’s tenure must be assessed separately from the change filing.
